Terms of Service
Effective June 16, 2026
1. Acceptance of Terms
By accessing or using RepLoop (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Service. These Terms constitute a legally binding agreement between you and the operator of RepLoop (“Company,” “we,” “us,” or “our”).
2. Description of Service
RepLoop is a performance tracking platform for athletes and coaches. The Service allows users to log workouts, monitor progress, receive AI-assisted coaching prompts, and turn training data into measurable results. We reserve the right to modify, suspend, or discontinue the Service (or any portion of it) at any time.
3. Eligibility & Accounts
You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Use the support option in the Service if you suspect unauthorized access.
You may not create an account on behalf of another person without their authorization, or use the Service for any purpose that is unlawful or prohibited by these Terms.
4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) transmit any material that is abusive, harassing, defamatory, or otherwise objectionable; (c) attempt to gain unauthorized access to any part of the Service or its related systems; (d) interfere with or disrupt the integrity or performance of the Service; (e) use automated tools to scrape, crawl, or harvest data from the Service without our express written consent; or (f) resell or commercially exploit the Service or its content without authorization.
5. User Content & Ownership
You retain ownership of all training logs, notes, and other content you submit to the Service (“User Content”). By submitting User Content, you grant the Company a limited, worldwide, non-exclusive, royalty-free license to store, process, and display your User Content solely to operate and improve the Service for you.
You represent that you own or have the necessary rights to all User Content you submit and that it does not infringe the intellectual property or privacy rights of any third party. We reserve the right to remove User Content that violates these Terms.
6. AI-Generated Suggestions Disclaimer
RepLoop uses artificial intelligence to generate coaching prompts, readiness scores, and training insights. These suggestions are provided for informational purposes only and do not constitute professional medical, sports medicine, or fitness advice. AI-generated content may contain errors or inaccuracies. You should consult a qualified professional before making significant changes to your training regime, especially if you have a pre-existing health condition or injury. The Company is not liable for any harm arising from reliance on AI-generated suggestions.
7. Subscriptions & Billing
Certain features of the Service may require a paid subscription. Subscription fees are billed in advance on the recurring basis shown when you subscribe and are non-refundable except as required by applicable law or as expressly stated in our refund policy. You authorize us to charge your payment method for all fees incurred under your account.
We may change subscription pricing with reasonable advance notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period.
8. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of the Company and its licensors. Our trademarks, trade dress, and logo may not be used in connection with any product or service without the prior written consent of the Company.
Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.
9. Third-Party Services
The Service may integrate with or contain links to third-party websites, services, or platforms (e.g., authentication providers, payment processors, analytics tools). These integrations are governed by the third parties’ own terms and privacy policies. The Company does not endorse and is not responsible for any third-party content, services, or practices. Your use of third-party services is at your own risk.
10. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
11. Termination
We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct harmful to other users or the Company. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective” date at the top of this page and, where practicable, notify you via email or an in-app notice. Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws that apply to the operator of the Service, without regard to conflict-of-law provisions. Any dispute will be handled in a court with proper jurisdiction, unless applicable law requires another venue.
